Terms of Service

1. Acceptance of Terms

By accessing or using SparWith ("the Platform"), located at sparwith.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. We may update these Terms at any time by posting a revised version on this page. Continued use after changes constitutes acceptance. The Platform is operated by Green Lunar LLC ("Company," "we," "us"), a Delaware limited liability company.

2. Eligibility

You must be at least 13 years old to use SparWith. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By creating an account, you represent that the information you provide is accurate and complete.

3. Account Terms

You may sign up using Google OAuth or other supported authentication methods. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to:

• Provide accurate, current information during registration.
• Not share your account or let others access it.
• Notify us immediately at [email protected] if you suspect unauthorized access.
• Not create more than one account per person.

4. User Conduct

SparWith is a platform for structured, respectful debate. You agree not to:

• Engage in harassment, personal attacks, threats, or bullying of other users.
• Post or communicate hate speech, slurs, or content targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
• Impersonate another person or misrepresent your affiliation with any entity.
• Share sexually explicit, gratuitously violent, or otherwise illegal content.
• Attempt to manipulate debate scores, ELO rankings, or fact-check outcomes through bots, scripting, or coordinated abuse.
• Spam, solicit, or advertise in debates or chat.
• Circumvent bans, suspensions, or moderation actions.
• Use the Platform in any manner that violates applicable law.

We reserve the right to remove content and suspend or terminate accounts that violate these rules, at our sole discretion and without prior notice.

5. Intellectual Property

Your Content.You retain ownership of all content you create, submit, or share on SparWith, including debate arguments, messages, and profile information ("User Content"). By posting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, distribute, and transmit your User Content solely for the purpose of operating, improving, and promoting the Platform. This license ends when you delete your User Content or account, except where it has been shared with others who have not deleted it.

Our Content. The SparWith name, logo, design, code, AI models, scoring algorithms, and all other proprietary materials are owned by Green Lunar LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without written permission.

6. AI Features Disclaimer

SparWith uses artificial intelligence to provide real-time fact-checking, argument scoring, and related features during debates. These AI-generated outputs are provided for informational and entertainment purposes only and are not guaranteed to be accurate, complete, or unbiased. AI fact-checks may contain errors, miss nuance, or reflect limitations in training data. You should not rely on AI-generated fact-checks as a definitive source of truth. The Company disclaims all liability for decisions or actions taken based on AI-generated outputs. We do not represent that the AI constitutes professional, legal, medical, or financial advice.

7. Subscriptions and Billing

SparWith may offer free and paid subscription tiers. If you purchase a paid subscription:

• Payment is processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.
• Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.
• Prices are listed in USD and may change with 30 days' notice.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.
• We reserve the right to offer promotional pricing, trials, or discounts at our discretion.

8. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violation of these Terms, abusive behavior, fraudulent activity, or extended inactivity. You may delete your account at any time by contacting us at [email protected]. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEN LUNAR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM, (B) ANY CONTENT OBTAINED FROM THE PLATFORM, (C) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA, OR (D) AI-GENERATED OUTPUTS INCLUDING FACT-CHECKS AND SCORES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Green Lunar LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You waive any objection to jurisdiction or venue in such courts. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected].

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Green Lunar LLC regarding the Platform and supersede all prior agreements.
